TERMS AND CONDITIONS

NO PURCHASE NECESSARY TO PARTICIPATE. MUST BE CURRENTLY ENROLLED IN A SCHOOL, COLLEGE, UNIVERSITY OR EDUCATIONAL PROGRAM TO PARTICIPATE AND BE 13 YEARS OF AGE OR OLDER. ELIGIBLE MINORS 13 – 17 YEARS OF AGE MUST OBTAIN THEIR PARENT’S OR LEGAL GUARDIAN’S PERMISSION PRIOR TO RECEIVING A GRANT.

WHO MAY SUBMIT AN APPLICATION: The Cocovibe Grant Program (the “Program”) is open to legal residents of the fifty (50) United States and the District of Columbia, who are currently enrolled in a school, college, university or educational program part time or full time and are 13 years of age and older. Void where prohibited or restricted by law. Officers, directors and employees of any of the following: Coco Fountain, LLC , 2633 Main Street, Lawrenceville, NJ 08648 (“Cocovibe”), and other individuals and entities responsible for the development, promotion and implementation of this Program, and their respective suppliers, parents, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouses, parents, children and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such non-eligible individuals, are not eligible to submit an Application (as defined below). Program is subject to all applicable federal, state and local laws. Cocovibe’s decisions are final and binding on all matters relating to this Program.

PROGRAM DESCRIPTION: Up to one hundred (100) applicants will be identified as “Grant Recipients,” and will each receive $1,000.00 USD awarded in the form of a check (referred to as “Grants” and “Grant Funds”), which must be used towards your personal cause and program identified in your application. Our goal is to award at least one (1) grant per week depending upon the quantity, quality and timing of eligible Applications received.

To be considered for a Cocovibe Grant, you must complete an online Application. Applications will be reviewed and considered on an on-going basis as they are received. Selected applicants will be contacted to schedule interviews to learn more about their personal cause, program and plan. Applications will be accepted between 12:00:01 a.m. Eastern Time (“ET”) on August 1, 2022 and 11:59:59 p.m. ET on August 31, 2023 (“Application Period”). Grants will be awarded on an on-going basis, as Applications are received. The Grant Recipient(s) may also take part in certain other Cocovibe-specified activities as designated by Cocovibe.”

You should be prepared to communicate the following in your online Application:

The societal tear you would like to repair;
How you specifically plan to go about “righting that wrong”;
Why your personal cause is so important to you; and
How you would plan to use the $1,000 to fund your program.

HOW TO SUBMIT AN APPLICATION: Please read these Terms and Conditions carefully as they contain important information about how the Program will be conducted, including eligibility to participate, deadlines, and rules regarding Applications.

Visit https://cocovibe.grantplatform.com/ and follow the directions to complete the online application (the “Application”) provided. All required fields must be filled out in order to submit an Application for review and consideration, including, but not limited to, your full name, phone number, email address, name and location of school in which you are currently enrolled, the personal cause you want to impact and description of how you would use the Cocovibe Grant Funds to do so. Supporting documents such as videos or images may be included in your Application.

Only Applications received during the Application Period that are otherwise fully compliant with these Terms and Conditions will be considered. You may submit more than one (1) Application if you have more than one (1) personal cause you wish to impact. In the event of a dispute involving Applications submitted by multiple individuals using the same email account or address, the Application will be deemed to have been submitted by the authorized subscriber of the email account used to enter the Program at the time of Application. The authorized subscriber is defined as the natural person who is assigned to an email address by the relevant Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

APPLICATION CONTENT RESTRICTIONS: An Application may NOT contain, as determined by Cocovibe, in its discretion, any content that:

is sexually explicit or suggestive or contains nudity;
is violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic;
promotes illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
features, advocates, suggests, condones or treats in a humorous manner the excessive, underage or irresponsible consumption of beverage alcohol products;
is obscene or offensive; endorses any form of hate or hate group;
appears to duplicate any other Applications that were submitted;
defames, misrepresents or contains disparaging remarks about other people, companies or products;
contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others;
contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media);
contains materials embodying the names, likenesses, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead;
contains look-alikes of celebrities or other public or private figures, living or dead;
communicates messages or images inconsistent with the positive images and/or goodwill to which Cocovibe wishes to associate; and/or
violates any federal, state or local laws, including without limitation, copyright laws.

Your Application must be in English and your original work. The Application may not have been previously published, and may not have won previous awards. By submitting an Application, you warrant and represent that you consent to the Application/submission and use of the Application and its contents in this Program and to its use as otherwise set forth herein.

APPLICATION REVIEW AND CONSIDERATION: As they are received, all Applications will be reviewed and considered by Cocovibe, in its sole discretion, based on a variety of factors, including, without limitation, quality and details of Application, personal cause identified, plan to execute vision, explanation of use of funds, impact of program and other factors. After review and consideration, selected applicants will be notified by telephone and/or email to schedule an interview via phone or video conference with Cocovibe to discuss their personal cause and program. If notified and you are an eligible minor between the ages of 13 and 17, a form confirming parental consent signed by a parent or legal guardian will need to be executed prior to moving forward with the interview. A request for an interview or the interview process is not a guarantee that a Cocovibe Grant will be awarded. Those interviewed may be found to be ineligible for any reason, at the discretion of Cocovibe.

INTERVIEW DETAILS AND BACKGROUND CHECKS: If (and only if) notified, you may be required to participate in an interview(s) via phone or online video conference, at a time and date mutually agreed upon by you and Cocovibe. Your performance and interview will sometimes be collectively referred to herein as the “Interview”. Cocovibe also reserves the right to conduct a background check prior to extending a conditional offer of Grant Funds to you and you agree to such background checks. You may be required to sign a background check release and any other documents required by Cocovibe.

NOTIFICATION OF GRANT RECIPIENTS: Grants will be awarded on an on-going basis, as Applications are received. After the interview and background check process, if you have been identified by Cocovibe to become a Grant Recipient, you will be notified of a conditional offer of a Cocovibe Grant by telephone and/or email using the information provided on their Application. Each selected applicant who has been identified by Cocovibe to become a Grant Recipient and you (or your parent or legal guardian on your behalf) will be required to sign an affidavit of eligibility and publicity/liability release and any other documents required by Cocovibe within five (5) business days of initial notification. Notification shall be deemed to have occurred on the date Cocovibe or Cocovibe’s designee first attempts to make contact with you to become a Grant Recipient. Any non-response by you to become a Grant Recipient, or Cocovibe’s failure to receive a response from you within the prescribed five (5) day notification period, may, in Cocovibe’s discretion, result in disqualification. In the event of any non-compliance with these Terms and Conditions, you will be disqualified. Cocovibe is not responsible for unsuccessful efforts to notify you. In the event you are an eligible minor in your jurisdiction of residence, Cocovibe will continue all future notifications and requirements with your parents or legal guardian, who will be responsible for the grant moving forward. You understand that Cocovibe reserves the right to withdraw a conditional offer of the Grant at any time.

GRANT RECIPIENT DETAILS: Up to one hundred (100) individuals will each receive a $1,000.00 USD Grant, awarded in the form of a check which must be used towards the personal cause and program identified in the corresponding Application.

Approximate Retail Value (“ARV”) of each grant awarded: $1,000.00 USD. Communicating of any Grant Recipient’s participation as part of a promotional piece has no cash value. Any difference between stated value and actual value will not be awarded. Grant Recipients may not substitute, assign or transfer grant or redeem grant for cash. All federal, state and local taxes and all other costs associated with grant acceptance and use not specified herein as being provided are the sole responsibility of the Grant Recipients. All grant details are at Cocovibe’s sole discretion.

GENERAL: By participating, you warrant and represent that you have complied in full with these Terms and Conditions, including but not limited to all eligibility requirements, and further agree to be bound by these Terms and Conditions and the decisions of Cocovibe, which are final and binding in all respects. All Applications submitted in the Program become the property of Cocovibe and will not be returned or acknowledged. Photocopies, facsimiles, and incomplete or mechanically reproduced Applications are not eligible. Application materials that have been tampered with or altered, or mass Applications or Applications generated automatically or robotically, or by a script, macro or use of any automated device(s) are void. Neither Cocovibe nor its parents, affiliates, subsidiaries, divisions and/or advertising or promotion agencies are responsible for: (i) lost, late, misdirected, or damaged Applications; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of Application materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive Application information by Cocovibe; (iii) hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail or online transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the website in whole or in part for any reason; traffic congestion on the Internet or the website; unauthorized human or non-human intervention of the operation of the Program, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Program, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Program; or (iv) any injury or damage to participant’s or any other person’s computer related to or resulting from entering or otherwise participating in the Program. Cocovibe reserves the right to withdraw and terminate, or modify, the Application process if it becomes technically corrupted, if a computer virus or system malfunction impairs its ability to conduct the Program, or if the Application process otherwise becomes impossible, impractical, infeasible for any other reason. If for any reason the Program is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, unanticipated school closures, epidemic, pandemic, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program. Cocovibe reserves the right, at its sole discretion to cancel, modify or terminate the Program. Cocovibe also reserves the right to terminate the selected Grant Recipient(s) at any time.

WARRANTY: By submitting an Application, you warrant and represent (i) that you own all rights to the Application you are submitting in this Program, including, without limitation, all content included in the Application, with the exception of any Cocovibe brand assets provided or made available by Cocovibe for use by participants in connection with this Program; (ii) that you are the individual represented in the Application, or, alternatively, that you have obtained permission from each and every person appearing in the Application, granting full exhibition rights to Cocovibe as described in these Terms and Conditions, and can make written copies of such permissions available to Cocovibe upon request; (iii) and that your Application: (a) is original to you (with the exception of the permitted third-party materials provided by Cocovibe to you on the Program website) and has been legally obtained and created, (b) does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, or violate applicable laws, rules regulations, or union standards; and (c) has not been entered in or won any previous promotions.

ASSIGNMENT OF RIGHTS: If your Application is deemed a Grant Recipient, you will be required to execute such documents as may be required by Cocovibe to irrevocably assign and transfer to Cocovibe any and all rights, title and interest in the Application, including, without limitation, all copyrights, and forever waive all moral rights in the Application, any rights of privacy, intellectual property rights, and any other legal or moral rights that might preclude Cocovibe’s use, alteration or modification of the Application or require your permission to use it for any purpose, and agree never to sue or assert any claim against Cocovibe or any entity acting pursuant to Cocovibe’s direction for any use or alteration of such Application.

By participating in the Program, you agree to release, defend, indemnify and hold harmless Cocovibe and its subsidiaries, affiliates, advertising agencies, promotion agencies, franchises, fulfillment companies, dealers, retailers, present and former officers, directors, employees, directors, and agents from and against any and all claims, demands, expenses, losses and liabilities of any nature whatsoever caused or contributed to by participating in the Program, the acceptance, use or misuse of any opportunity, participation in any opportunity-related activities, including any claims of third parties claiming infringement of trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation, and further agrees to release, defend, indemnify and hold harmless Cocovibe from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Cocovibe infringes on the rights of participant's work as contained in any submitted Application. By participating in the Program, you irrevocably grant to Cocovibe and its parents, subsidiaries, affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to copyright (as appropriate), reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse, without limitation, your name, address, image, voice, likeness, statements, biographical material and Application, including, but not limited to any video, still image, likeness, photos, names, special effects or digital or other recording, performances or other material contained in such Application, as submitted or as edited, altered or modified in any way by Cocovibe or its designee(s) in Cocovibe’s sole discretion, as well as any additional photographic images, video images, portraits, interviews or other materials relating to you and arising from your participation in this Program in any media throughout the world for any purpose, without limitation and without additional review, compensation, or approval from you or any other party.

By submitting an Application, you recognize and acknowledge that the intellectual property, including, but not limited to: trademarks, service marks, domain names, names, titles, symbols, logos, designs, artwork, phrases, trade names and trade dress, and any combination thereof associated with Cocovibe and/or any of its affiliates, whether registered, pending registration, or subsisting at common law and the goodwill associated therewith are the sole and exclusive property of Cocovibe and/or its affiliates. No rights are granted hereunder to you for any use other than that specified in the Application process. You agree that all ownership rights in the intellectual property of Cocovibe and/or its affiliates will remain with such parties and you will not claim any right, title, or interest in and to, or attack the title or any rights of such intellectual property, except for the right to use such intellectual property in accordance with the Application process.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT SUBMITTING AN APPLICATION, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH OR VANDALIZE THE PROGRAM WEBSITE OR INTERFERE WITH THE OPERATION OF THE PROGRAM, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND COCOVIBE RESERVES THE RIGHT TO SEEK AND TO DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

ARBITRATION: Except where prohibited by law, as a condition of participating in this Program, you agree that (1) any and all disputes and causes of action arising out of or connected with this Program, or opportunity provided, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest you; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than your actual out-of-pocket expenses (i.e., costs associated with participating in this Program), and you further waive all rights to have damages multiplied or increased.

CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or your rights and obligations and Cocovibe in connection with the Program, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
